INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER NOTICE: THESE TERMS AND CONDITIONS CONTAIN MANDATORY INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER, REQUIRING YOU TO RESOLVE ANY DISPUTE (AS DEFINED BELOW) BETWEEN YOU AND STELLARFI THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, INSTEAD OF IN COURT, AND REQUIRING YOU TO FOREGO ALL JURY TRIALS AND ALL CLASS, COLLECTIVE, CONSOLIDATED, AGGREGATE, MASS, AND REPRESENTATIVE PROCEEDINGS, AND ALL OTHER TYPES OF COURT PROCEEDINGS OF ANY AND EVERY KIND. BY AGREEING TO THESE TERMS AND CONDITIONS, YOU EXPRESSLY AND AFFIRMATIVELY ACKNOWLEDGE THAT YOU (i) HAVE READ; (ii) CAREFULLY CONSIDERED; AND (iii) UNDERSTAND ALL OF THE PROVISIONS OF THE INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER PROVISIONS, AND THAT YOU EXPRESSLY AGREE TO BE BOUND THEREBY.
StellarFi Member Ambassadors are required to read and comply with all of the Terms and Conditions set forth in this Agreement, as well as all federal, state, and local laws governing their StellarFi Member Ambassador Program business and their conduct. Because federal, state, and local laws, as well as the business environment periodically change, StellarFinance, Inc. (“StellarFi”) reserves the right to amend these Terms and Conditions, as well as its prices and fees from time to time. By participating in the StellarFi Ambassadorship Program (“the Program”), you agree to the following Terms and Conditions:
1.1 Applicants must be at least 18 years old and legal U.S. resident to apply for the Program.
1.2 Applicants will need a U.S. Social Security Number, Federal Tax ID Number, or applicable tax identification number.
1.2 Applicants must have a genuine interest in finance and a track record of recommending financial products to their friends and family.
1.3 StellarFi reserves the right to accept or reject any application at its sole discretion.
2.1 In order to opt-in to the Program, Ambassadors must have either the MEMAMBASSADOR or INFLAMBASSADOR promo code in their StellarFi app. This includes a $5 welcome bonus in StellarFi credits, which can be used toward their membership fees or bill payments. This code is issued by StellarFi directly and cannot be shared.
2.2. Once accepted into the Program, Ambassadors will receive commissions from every bill payment and membership fee their verified referrals make.
2.3 Ambassador benefits, including early access to new features, exclusive giveaways and contests, product promo codes and discounts, and referral rewards, are subject to change or termination at the discretion of StellarFi.
3.1 Ambassadors are expected to actively promote StellarFi through various channels, including but not limited, to social media platforms, referrals, feedback sharing, and content creation.
3.2 Ambassadors shall follow either the StellarFi Member Ambassador Quick Start and Content Guide or Influencer Ambassador Quick Start Guide when creating content or representing StellarFi in any public or online platforms. Failure to do so can result in removal from the Program. 3.3 Ambassadors acknowledge that they have read for regulatory guidance purposes the FTC’s Endorsement Guides: What People Are Asking at https://www.ftc.gov/business-guidance/resources/ftcs-endorsement-guides-what-people-are-asking.
3.4 Ambassadors agree to include this specific disclaimer language in a prominent, readily visible place if communicating through written media or to make this statement if using video or verbal media: “Paid testimonial.” In addition, Ambassadors agree to use built-in social media provided disclosure tools, as appropriate.
3.5 Ambassadors are responsible for ensuring that their promotional activities comply with all applicable laws, regulations, and guidelines.
3.6 Ambassadors shall not engage in any activity that may harm the reputation or integrity of StellarFi or its products.
3.7 Ambassadors are considered independent contractors of StellarFi. Ambassadors are responsible for adhering to their local, state and federal taxation rules as a result. Ambassadors are not employees of StellarFi and should not be referred to as such.
3.8 It is prohibited for affiliates to own or bid on any domain names with the phrase “StellarFi’’ or any reasonable variation or misspelling in the URL. Brand bidding is not permitted on any search engine for brand, brand+, or variation search terms.
4.1 Ambassadors may earn referral rewards for successfully referring new users to StellarFi. There is not a cost to enroll in the program.
4.2 Referral rewards are subject to verification and may be adjusted or withheld in the case of fraudulent or suspicious activity.
4.3.1 For StellarFi members: Both the Ambassador and referral members must be StellarFi Lite or Prime Prime plan members in order for commissions to be issued.
4.3.2 For influencers: StellarFi-qualified influencer Ambassadors only need to have registered for StellarFi, but do not need to have a StellarFi plan and verified credit account.
4.4.1 For StellarFi members: Ambassadors are eligible to receive commissions as long as the referral is actively paying their bill payments and membership fees through StellarFi and the Ambassador has opted into the Program, including inputting the MEMAMBASSADOR promo code into their account. If either members’ StellarFi account is delinquent or closed for any reason, the Ambassador Program member will no longer receive commissions from future payments being made.
4.4.2 For influencers: Ambassadors are eligible to receive commissions as long as the referral StellarFi member is actively paying their bill payments and membership fees through StellarFi and the Ambassador has opted into the Program, including inputting the INFLAMBASSADOR promo code into their account. If the referral’s StellarFi account is delinquent or closed for any reason, the Ambassador Program member will no longer receive commissions from future payments being made.
4.5 Commissions will not be paid if an Ambassador is removed from the Program.
4.6 Commissions are paid against the use of the referral code and the subsequent referrer member’s bill and membership fee payment behavior. There are no guarantees of success or earning any amount of income at all when participating.
4.7 Commissions will be paid out in the form of payments through ACH transfer. Commissions accrue through the 15th day of each month (or nearest business day) and paid out 5-7 business days later. Ambassadors should allow 5-7 business days to receive payments.
4.8 Reversal or disputes of commission payments are not allowed once commissions are calculated and issued.
5.1 Ambassadors will receive monthly commission payments based on membership fees and bills paid by those members whom they refer. StellarFi will match and pay commissions based on the Ambassador’s StellarFi referral link.
5.2 Ambassadors are eligible to earn these funds as long as both the Ambassador and their referrals have signed up for a StellarFi account.
5.3 Ambassadors’ earnings will depend on whether it is the Ambassador directly referring someone, or if their referrals are referring someone. Ambassadors will earn commissions for membership fees and bill payments for all direct referrals. In order for Ambassadors to earn from 2nd, 3rd, 4th, or 5th referrals (that is “indirect referrals”), their referred friends must join the Ambassador program too.
5.3.1 Direct referral(s) do not need to be an Ambassador for Ambassadors to earn from their StellarFi payments. Ambassadors will earn 20% of membership fees plus .002% of bill payment processing fees from the payments their direct referrals make.
5.3.2 Indirect Referrals need to be an Ambassador for Ambassadors to earn from payments made by down-line StellarFi referrals.
5.4 The payment tiers cap at the 5th down-line referral.
5.5 Payments will accrue until the 15th (or nearest business day) of each month and will be paid out within 7 business days.
5.5.1 For StellarFi members: Payments will be deposited into the bank account connected to StellarFi.
5.5.2 For StellarFi influencers: Payments will be processed via invoice payment.
5.6 The percentage of earnings from bill payments made is based on a percentage of the transaction fees that StellarFi earns from bill payments. For example, if your direct referral has $1,000 in bills paid through StellarFi, that will result in a .002% of the $2 in earnings for you, the member Ambassador.
6.1 Ambassadors may have access to confidential and proprietary information of StellarFi during their participation in the Program.
6.2 Ambassadors shall maintain the confidentiality of such information and refrain from disclosing or using it for any unauthorized purposes.
6.3 Confidential Information. “Confidential Information” means any information disclosed by either party that is identified or marked as confidential or reasonably appears to be confidential.
6.4 Exceptions. Confidential Information does not include information that is publicly available, acquired or obtained from an authorized third party, or independently developed by the receiving party.
6.5 Permitted Use. The receiving party may only use the disclosing party’s Confidential Information in connection with the Ambassador Program.
6.6 Duration of Protection. The obligations regarding Confidential Information remain in effect until it is no longer considered confidential.
7.1 StellarFi reserves the right to terminate an Ambassador’s participation in the Program at any time and for any reason upon written notice to the Ambassador.
7.2 Ambassadors may also request to terminate their participation in the Program by providing written notice to StellarFi at ambassadors@stellarfi.com.
7.3 This version of the Ambassador Program is a pilot program. StellarFi reserves the right to terminate or amend this Program at any time and for any reason.
8.1 StellarFi reserves the right to modify, suspend, or terminate the Program or these terms and conditions at any time without prior notice.
9.1 StellarFi shall not be liable for any damages, losses, or liabilities arising from the participation in the Program.
9.2 Ambassadors participate in the Program at their own risk and are responsible for their own actions and decisions.
10.1 These terms and conditions shall be governed by and construed in accordance with the laws of Texas.
10.2 Any disputes arising out of or in connection with the Program shall be subject to the exclusive jurisdiction of the courts of Texas.
11.1 By participating in the StellarFi Ambassadorship Program, Ambassadors grant StellarFi a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, distribute, and display any content created or shared by the Ambassadors during their participation in the Program.
11.2 StellarFi may use the content for promotional, marketing, or any other purposes deemed appropriate by StellarFi.
11.3 Ambassadors confirm that they grant StellarFi content usage rights.
12.1 StellarFi reserves the right to remove an Ambassador from the Program at its sole discretion, without prior notice, if:
12.2 StellarFi’s decision to remove an Ambassador from the Program shall be final and binding.
Please take these rules seriously. If an Ambassador’s on- and/or off-platform behavior harms our ecosystem, we may respond based on a number of factors including, but not limited to, the egregiousness of their actions and whether a pattern of harmful behavior exists. Our response will range from:
Warning: For minor infractions, we may issue a formal warning, outlining the violation and requesting immediate corrective action; or
Temporary Suspension: In cases of more serious misconduct, we reserve the right to temporarily suspend your participation in the Program. During this suspension, you will not be eligible to participate in any StellarFi marketing activities; or
Termination: In cases of egregious violations or repeated patterns of harmful behavior, we may terminate your participation in the Program indefinitely. Termination may result in the forfeiture of any pending payments or benefits associated with the Program.
In addition to the general conduct guidelines outlined above, we specifically prohibit any actions that may constitute defamation. Defamation includes making false statements, both written and spoken, that harm the reputation of our brand, products, services, or any affiliated individuals or organizations. This includes but is not limited to:
False Statements: Do not make false claims about our products, services, or brand that could damage our reputation or mislead the public.
Misrepresentation: Do not misrepresent your affiliation with us.
Disparaging Remarks: Refrain from making disparaging or derogatory remarks about our brand, our products, services, or any affiliated individuals or organizations in public or private forums, including social media.
Violation of this anti-defamation clause may result in immediate termination of your participation in the Program, and we reserve the right to seek legal remedies, including injunctive relief, for any damages caused by such defamation.
By participating in the StellarFi Ambassadorship Program, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
