Terms and Conditions – Right of Publicity

Agreeing to these Terms & Conditions creates a legally binding agreement between you (“I,” “me,” or the “Individual”) and StellarFinance, Inc, a Public Benefit Corporation (“StellarFinance”). By agreeing to these terms, the Individual grants certain rights to StellarFinance in relation to their testimonial. Please read this agreement carefully before providing your consent.

1. Grant of Rights: The Individual irrevocably grants to StellarFinance the following rights, as applicable:
   • The right to utilize photographs or videos that may contain the Individual’s first name, image, likeness, voice, endorsement, biographical information, professional information, and other identifying information, as well as the likeness or image of the Individual’s property (collectively referred to as the “Testimonial”).
   • The right to display, publicly perform, exhibit, transmit, broadcast, reproduce, record, photograph, digitize, modify, alter, edit, adapt, create derivative works, exploit, sell, rent, license, use, and permit others to use the Testimonial, in whole or in part, for commercial and business purposes, including but not limited to:
     • In film, videotape, or multimedia or social media productions.
     • On StellarFinance’s website and/or social media platforms.
     • In educational, advertising, marketing, and promotional materials.
2. Attribution: The Individual acknowledges and agrees that the Testimonial may or may not contain attributions specifically identifying the Individual or any of their property.
3. Release and Discharge: The Individual hereby releases and discharges StellarFinance, its affiliates, and their respective employees, agents, successors, licensees, and assigns from any and all claims that may arise in connection with StellarFinance’s use, display, dissemination, or exploitation of the Testimonial. This includes, but is not limited to, claims for defamation, violation of moral or artist rights, and any right of privacy or publicity.
4. Compensation: The Individual acknowledges that they will receive no additional compensation from StellarFinance, except for a pre-designated promotional credit, as well as any goodwill and publicity resulting from the publication, distribution, or other use of the Testimonial as outlined in this agreement.
5. Grant and License: The Individual hereby irrevocably grants and licenses to StellarFinance and its affiliates, successors, licensees, agents, and assigns (“Authorized Persons”) the following rights, in perpetuity and throughout the universe, in any and all media and formats, by any and all technologies and means of delivery, whether now known or devised in the future:
   • The right to digitize, modify, edit, adapt, create derivative works, display, exhibit, transmit, broadcast, reproduce, sell, rent, license, use, and permit others to use the Testimonial, including the Individual’s name, image, likeness, appearance, and voice as they appear in the Testimonial.
   • The right to identify the Individual by first name and use their name, likeness, appearance, voice, and all materials created by or on behalf of StellarFinance that incorporate any of the foregoing (“Materials”) in connection with the Testimonial, as well as the advertising and promotion of the Testimonial and StellarFinance and its affiliates’ businesses, products, and services.
6. No Financial Compensation: The Individual represents that they have not provided any money or other valuable items to StellarFinance, its employees, agents, representatives, or anyone associated with the Testimonial, in exchange for appearing in the Testimonial or receiving acknowledgment, inclusion of their name, or any other matter in the Testimonial.
7. Governing Law: This agreement represents the entire agreement between StellarFinance and the Individual.
8. Age: By agreeing to these Terms & Conditions, you confirm that you are at least 18 years of age.
